Villa booking terms and Indonesian consumer law: refunds, deposits and standard clauses

Key takeaways

  • A consumer is any person using goods or services available in the community, not for resale — and the law sets no nationality condition.
  • A standard clause refusing to return money paid, shifting liability or changing rules mid-stay is void by law (UU 8/1999 Pasal 18).
  • Breaching Pasal 18 carries up to 5 years or IDR 2 billion (Pasal 62).
  • Guests are owed compensation, damages or replacement when the service is not as agreed.
  • Online, the contract must set out the procedure for cancellation by the parties (PP 80/2019).

Villa owners and managers in Bali usually copy booking terms from a platform or another villa: deposits, cancellation tiers, damage charges, house rules. Indonesian consumer law has a list of standard clauses a business may not use, and declares them void. This page reads the 1999 consumer protection law and the 2019 electronic commerce regulation, and checks what a villa's terms can and cannot say.

The clauses the law bans

UU 8/1999 defines a standard clause as any rule or term prepared in advance and unilaterally by the business, set out in a document or agreement the consumer must comply with (Pasal 1 angka 10). Pasal 18(1) bars a business offering goods or services from including standard clauses that, among others:

Booking-term wording against UU 8/1999 Pasal 18
 What the law bansRule
“All payments are non-refundable”Refusing to return money paidPasal 18(1)(c)
“We are not responsible for anything”Shifting the business's liabilityPasal 18(1)(a)
“Services may be reduced without notice”Reducing the service's benefitPasal 18(1)(f)
“House rules may change during your stay”Unilateral new rules during the servicePasal 18(1)(g)
Terms in tiny print, or hard to findHard to see, read or understandPasal 18(2)

Clauses whose placement or form is hard to see, cannot be read clearly, or are hard to understand are also barred (Pasal 18(2)). Any clause that breaches ayat (1) or (2) is “batal demi hukum” — void by law (ayat (3)) — and the business must adjust it (ayat (4)). Breach is a criminal matter: up to five years' prison or a fine of up to IDR 2 billion (Pasal 62(1)), with additional penalties including payment of damages (Pasal 63).

What that means for a cancellation policy

The text bans a clause stating that the business may refuse to return money paid. It does not regulate cancellation tiers or deposits by name. A policy that keeps part of a payment for a late cancellation is a different clause from one that says nothing paid is ever returned; how a particular policy is treated is for the contract, the dispute board or a court. We give no view on any wording beyond the statute's.

Checking your own terms, step by step

  1. Find the standard clauses. Anything written in advance that every guest must accept is one (Pasal 1 angka 10): website terms, booking confirmations, house rules, deposit forms.
  2. Read them against the list. No clause refusing to return money paid, shifting liability, reducing the service or changing rules mid-stay (Pasal 18(1)).
  3. Make them readable. Not hidden, not in illegible type, not hard to understand (Pasal 18(2)); for consumers in Indonesia, an Indonesian version of the electronic contract (PP 80/2019 Pasal 55).
  4. State the cancellation procedure. An electronic contract must include it (Pasal 53(1)(h)), and the offer must state the price, payment terms and risks (Pasal 39).
  5. Plan for compensation. When the stay is not as agreed, compensation — a refund or an equivalent service — is owed (Pasal 7(g), 19).

What the operator owes, and online bookings

A business must act in good faith, give correct, clear and honest information about the service's condition and guarantees, and compensate when what is received does not match the agreement (UU 8/1999 Pasal 7). The consumer has a matching right to compensation, damages or replacement (Pasal 4(h)). Compensation may be a refund or an equivalent service, given within seven days after the transaction date (Pasal 19(2)-(3)); the business is not liable if it proves the fault was the consumer's (Pasal 19(5)).

Online offers and contracts

PP 80/2019 requires an electronic offer to state at least the specification, price, contract conditions, payment mechanism and period, delivery, and unexpected risks (Pasal 39). The electronic contract must include, among others, the procedure where the service does not match and the procedure for cancellation by the parties; it may not contain standard clauses harmful to consumers; for consumers in Indonesia it is in Indonesian, and the consumer must be able to download or store it (Pasal 53, 55-56). Platforms receiving payments must have a mechanism to refund consumers when a purchase is canceled (Pasal 71). A villa selling direct through its own site is a business in that chain. Booking channels.

Disputes

A harmed consumer may sue through the consumer dispute board or the general courts, by voluntary choice (Pasal 45). Boards sit at regency level (Pasal 49), decide within 21 working days, and their decisions are final and binding (Pasal 54-55); the business must comply within seven working days (Pasal 56). BPKN's register lists boards for Denpasar, Badung, Gianyar and Karangasem (UU No. 8 Tahun 1999, Pasal 49, 54-56 (1999)).

Where the hotel tax fits

The hotel tax is charged on what the guest pays (UU 1/2022 Pasal 57). A refund reduces what was paid, and a retained cancellation charge is still a payment for the stay; how the regency treats each in the monthly return is a filing question. Hotel tax filing.
